Artist Collaboration Agreement

Artist Collaboration Hub Agreement

This Agreement is made and entered into by and between MIDNIVARIA PRIVATE LIMITED, operating under the brand name Midnight Fine Art (hereinafter referred to as the "Company"), and the artist agreeing to this contract (hereinafter referred to as the "Artist").

1. Scope of Agreement

1.1 The Artist agrees to collaborate with the Company to showcase and sell their artwork on the Company's platform, which includes the websites www.midnightfineart.in for India and www.midnightfineart.com for international audiences.

1.2 The Company agrees to handle the marketing, sales, and logistics associated with the Artist's artwork, providing the necessary support to ensure the Artist's success.

2. Commission and Profit Sharing

2.1 The Artist and the Company agree to a profit-sharing model where the Artist will receive 78% of the final sale price, and the Company will take a 22% commission. This commission covers website maintenance, marketing, customer service, and logistics.

2.2 Profits are defined as the final sale price minus any costs associated with the sale, including but not limited to transaction fees and shipping costs.

3. Use of Portfolio and Images

3.1 Once the Artist submits their portfolio, the Company is granted the right to use the portfolio, images, and any works provided by the Artist to showcase or present on the Company's website or any associated platforms without requiring additional consent from the Artist.

3.2 The Artist acknowledges and agrees that the Company may use these images for marketing, promotional, and sales purposes.

4. Term and Termination

4.1 This Agreement shall commence on the date first above written and continue until terminated by either party with 30 days' written notice.

4.2 Either party may terminate this Agreement immediately for cause if the other party breaches any material term or condition of this Agreement.

5. Representations and Warranties

5.1 The Artist represents and warrants that they are the sole creator and owner of the artwork and have the full legal right to sell and exhibit the artwork.

5.2 The Company represents and warrants that it will use its best efforts to market and sell the Artist's artwork.

6. Indemnification

6.1 The Artist agrees to indemnify and hold harmless the Company from any claims, damages, liabilities, costs, and expenses arising from the breach of the Artist's representations and warranties.

7. Limitation of Liability

7.1 The Artist agrees that the Company, including its directors, officers, employees, and agents, shall not be held responsible or liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to this Agreement, the use of the Company's platform, or the sale of the Artist's artwork.

7.2 The Artist agrees that the Company's total liability for any claim arising out of or relating to this Agreement shall not exceed the total amount of profits earned by the Company from the sale of the Artist's artwork.

8. General Provisions

8.1 Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings.

8.2 Amendments: Any amendments to this Agreement must be in writing and signed by both parties.

8.3 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Goa, India.

8.4 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
